Terms of Service

1. Agreement to Terms

By accessing or using magicslug.com and related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Who We Are

The Service is operated by Stanza Investment LLC, doing business as MagicSlug ("MagicSlug," "we," "us," or "our"), located at 1401 21st Street, Sacramento, CA 95811, USA. Contact: magicslugadmin@gmail.com.

3. Eligibility and Accounts

You must be at least 13 years old (or older where required by local law) to use the Service. The Service is not intended for children under 13. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4. Acceptable Use

You agree not to misuse the Service. For example, you must not:

• Violate any applicable law or regulation.
• Infringe intellectual property, privacy, or other rights.
• Attempt unauthorized access to systems, accounts, or data.
• Interfere with the integrity, performance, or security of the Service.
• Use bots, scraping, or automated means in a way that harms the Service.
• Upload or transmit malware, malicious code, or harmful content.

5. User Content

You retain ownership of content you submit to the Service ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, process, display, reproduce, and transmit User Content solely to operate, maintain, and improve the Service.

6. Intellectual Property

The Service, including software, branding, and design, is owned by MagicSlug or its licensors and is protected by intellectual property laws. Except as expressly allowed by law or by us in writing, you may not copy, modify, distribute, reverse engineer, or create derivative works from the Service.

7. Paid Plans, Billing, and Refunds

Some features may require payment. Prices, billing intervals, and included features are shown at checkout. Payments are processed by Stripe. You authorize us and Stripe to charge your selected payment method for applicable charges, including recurring subscription charges where applicable, until canceled.

Unless required by law, fees are non-refundable. You are responsible for applicable taxes, duties, and government charges.

8. Cancellation and Termination

You may stop using the Service at any time and may delete your account. We may suspend or terminate access if you violate these Terms, create risk for users or us, or if required by law. Sections that by their nature should survive termination will survive.

9. Third-Party Services

The Service relies on third-party providers including Supabase (infrastructure), Google (authentication), Stripe (payments), Vercel (hosting), and PostHog (analytics). Your use of third-party services may be subject to their own terms and privacy notices.

10. Content Complaints and DMCA Notices

If you believe any content on the Service is unlawful, infringes your intellectual property, or violates your rights, contact us at magicslugadmin@gmail.com with the subject line "Content Complaint" or "DMCA Notice." Include enough detail for us to locate and review the content (such as URL), the basis of your claim, and your contact information.

For copyright complaints, include your good-faith statement, a statement that the information is accurate, and that you are the rights owner or authorized to act on their behalf, plus your electronic or physical signature. We may remove or disable access to content upon review and may terminate repeat infringers when appropriate.

If your content is removed and you believe it was removed in error, you may send a counter-notice with supporting details. We may restore content where legally appropriate.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANZA INVESTMENT LLC (DBA MAGICSLUG) AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

13. Indemnification

You agree to defend, indemnify, and hold harmless Stanza Investment LLC (dba MagicSlug) and its affiliates, officers, employees, agents, and licensors from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, User Content, or violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Unless otherwise required by law, disputes related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Sacramento, California, and you consent to those courts' jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and revise the Last updated date. Your continued use of the Service after updates take effect means you accept the revised Terms.
